PAG Group Sub-Contractor Agreement: Terms & Conditions

WHEREAS PAG Group is engaged in contracting services for the supply and application of wallboard, insulation, taping, texturing ceilings, and other materials involved in the construction and erection of interior partitions.

AND WHEREAS PAG Group seeks to engage the Sub-Contractor to carry out specific terms and conditions in relation to the said contracts.

AND WHEREAS the Sub-Contractor has agreed to provide materials and services for the application of wallboard, insulation, taping, texturing ceilings, and other related work in the erection and cladding of interior partitions.

AGREEMENT

The Company and Sub-Contractor agree as follows:

Independent Contractor Status
The Sub-Contractor is an independent contractor and not an employee of PAG Group. This Agreement is a contract for services, not a contract of employment. The Sub-Contractor will not be entitled to employee benefits (e.g., Canada Pension Plan, vacation pay, etc.) and is responsible for their own taxes and contributions.

Competent Workforce
The Sub-Contractor agrees to employ qualified personnel necessary for the completion of the work and ensures that all staff involved are competent and adequately trained.

Compliance with Statutes & Regulations
The Sub-Contractor agrees to comply with all relevant federal, provincial, and local statutes and regulations regarding the employment of workers, including deductions and payments under the Income Tax Act, Unemployment Insurance Act, Canada Pension Plan, and Workers’ Compensation Act. The Sub-Contractor will protect PAG Group from any claims related to breaches of these statutes.

Liability for Workers’ Compensation
PAG Group reserves the right to withhold amounts equal to outstanding Workers’ Compensation assessments from payments due to the Sub-Contractor and remit this directly to the Workers’ Compensation Board on behalf of the Sub-Contractor.

Timely Completion of Work
The Sub-Contractor agrees to carry out the work in a diligent manner, without interfering with or delaying the work of other subcontractors or the Company. In case of delays, the Sub-Contractor may be liable for penalties or damages incurred by PAG Group due to the delay.

Loss or Damage to Work
The Sub-Contractor is responsible for any loss or damage to the work covered by the contract until the work is fully completed and accepted by PAG Group. Any claims from other parties resulting from the Sub-Contractor’s work must be addressed promptly.

Termination of Contract
In the event of a breach by the Sub-Contractor, PAG Group may terminate the Sub-Contractor’s agreement immediately. If there are uncompleted works at the time of termination, PAG Group may arrange for another party to complete the work, with the Sub-Contractor being responsible for any additional costs incurred.

Completion of Work
Upon completion of the work, the Sub-Contractor must notify PAG Group. PAG Group will inspect the work, and if it meets the agreed standards, payment will be made according to the payday schedule. If defects are found, the Sub-Contractor is responsible for correcting the work at their own expense.

Assignment
The Sub-Contractor may not assign or transfer this agreement or any associated Sub-Contract without prior written consent from PAG Group.

Guarantee

The Sub-Contractor guarantees that all work will be completed in accordance with the contract specifications. No payment or partial acceptance of work by PAG Group shall be considered acceptance of any work not meeting the agreed standards.

Rejected Work

If any work is found to be defective, whether due to poor workmanship, defective materials, or negligence, the Sub-Contractor shall remove and replace the defective work at their own expense. The Sub-Contractor shall also be responsible for any resulting damages to other works.

Payment Disputes

If there are any concerns about the payments made to the Sub-Contractor, they must notify PAG Group’s office within one business day. Otherwise, payment will be considered accepted.

Final Notes:

This Sub-Contractor Agreement is designed to ensure both parties—PAG Group and the Sub-Contractor—work together efficiently, transparently, and professionally. We value our relationships with skilled subcontractors and strive to maintain a strong, reliable partnership for every project.
